Service Agreement & Terms of Use

Effective Date: September 2026 • ClickWise Marketing (Croydon, Greater London, UK)

1. Purpose and Scope of Agreement

This Service Agreement ("Agreement") governs the commercial engagement between ClickWise Marketing ("Agency", "we", "us"), operating from Croydon, Greater London, and the commercial client ("Client", "you"). By commissioning our local authority optimization frameworks, retaining our digital marketing services, or utilizing our website (www.clickwisemarketing.co.uk), you agree to be bound by the terms outlined below.

2. Core Service Deliverables (The 5 Growth Engines)

ClickWise Marketing delivers strategic digital search services structured across five primary capability layers:

  • Total Map Pack Domination: Secures top-tier local positioning by synchronizing your Google Business Profile, Apple Business Connect, and Bing Places across Croydon, Purley, and Mitcham.
  • Elementor Conversion Engines (Technical & On-Page): Builds blazing-fast WordPress architectures that purge code bloat and utilize natural, authoritative language to convert local mobile traffic.
  • Generative Engine Optimization (GEO): Hard-codes structured JSON-LD data so AI models like ChatGPT, Gemini, and Apple Intelligence cite your firm as the verified local authority.
  • Reputation Shield: Deploys automated review loops and aggressive spam monitoring to protect your digital footprint and maintain pristine star ratings.
  • Organic SEO Integration: Bridges your website infrastructure with search engine algorithms through strategic keyword targeting, technical audits, and seamless NAP alignment.

3. Target Sectors and Territorial Scope

Our retainers focus on high-ticket, trust-based service providers within designated operating corridors:

  • Target Verticals: Services are specifically tailored for Private Dentists, Professional Roofers, and Emergency Plumbers requiring rapid local search conversion.
  • Base of Operations: Croydon, South London.
  • Core Operating Territory: Central Croydon, South Croydon, Broad Green, Waddon, and East Croydon.
  • Expansion Corridors: Purley, Sanderstead, Coulsdon, Kenley, Shirley, Mitcham, Thornton Heath, Norbury, South Norwood, and Crystal Palace.

4. Fees, Retainers, and Payment Terms

All professional services are provided on an agreed monthly retainer schedule (standard retainer of £750 per month unless specified otherwise in a bespoke statement of work).

  • Advance Billing: Monthly retainers are invoiced and payable in advance of each 30-day operational cycle.
  • Cleared Funds: Deliverables commence only once invoice payment has cleared via approved bank transfer or electronic card processor.
  • Suspension of Services: Invoices remaining unpaid for more than 14 calendar days may result in the temporary pause of automated review tools, active rank tracking, and scheduled site updates.

5. Client Responsibilities & Data Access

To enable effective campaign execution, the Client agrees to provide timely administrative access to digital assets, including Google Business Profile manager permissions, website credentials (WordPress / Elementor), Google Search Console, and relevant high-resolution brand assets. Delays in supplying necessary credentials or editorial feedback will adjust campaign timelines accordingly.

6. Algorithmic Realities & Performance Disclaimers

ClickWise Marketing deploys forensic technical audits and structured entity architectures based on white-hat best practices. However, third-party search platforms (Google, Bing, Apple) and large language model algorithms operate independently and periodically adjust their ranking signals. Consequently, no ethical marketing agency can guarantee specific fixed rank positions, organic volumes, or sales conversions. We guarantee the rigorous execution of technical workflows, reporting parity, and compliance with search engine guidelines.

7. Intellectual Property & Asset Ownership

Upon receipt of full payment for completed work, the Client retains full ownership of all custom front-end website pages, published copy, and directory listings created specifically for their business. Proprietary agency auditing frameworks, internal scoring systems, and custom code modules remain the intellectual property of ClickWise Marketing.

8. Confidentiality & Mutual Non-Disclosure

Both parties agree to treat all exchanged commercial, technical, and client customer details as strictly confidential. Neither party will disclose proprietary operational strategies, business data, or technical configurations to third parties without prior written consent, except where required by UK statutory regulations.

9. Agreement Term and Cancellation Notice

Unless a fixed-term agreement is signed, services operate on a rolling 30-day monthly retainer.

  • Notice Period: Either party may terminate the ongoing monthly retainer by providing thirty (30) calendar days' written notice via email to [email protected].
  • Post-Termination Handover: Upon conclusion of the notice period and settlement of outstanding invoices, all administrative accesses will be handed back to the Client with no recurring fees.

10. Limitation of Liability

To the maximum extent permitted by English law, ClickWise Marketing shall not be liable for indirect, incidental, or consequential damages, including loss of business profits, data, or operational interruptions. Our cumulative liability under this Agreement is strictly limited to the total fees paid by the Client during the preceding three (3) months of service.

11. Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of this Agreement.
